These Terms and Conditions govern the Grant described on the landing page available at _________ (“Grant”). Additional information and terms specific to the Grant (“Grant Details”) are available on the landing page. By submitting an application to the Grant, applicants (“applicant” or “you”) agree to be governed by these Terms and Conditions.

ELIGIBILITY

Participation in the Grant is open to applicants who meet the requirements set forth below:

  • are engaged full-time in laboratory-based scientific research and have attained at least the age of majority in their jurisdiction of residence (entrants must, in any event, be at least 18 years of age).
  • Are not employees, officers, directors, agents, representatives, independent contractors of Trailhead Biosystems Inc. (“Trailhead”), or of their subsidiaries or affiliated companies, or immediate family members and members of the same households (whether related or not) thereof.
  • Are not (1) residents of Cuba, Iran, North Korea, Sudan, Syria or any country subject to U.S. embargo; (2) government employees or Health Care Professionals, “Health Care professional” being defined as physicians, nurses, physician assistants, pharmacists, and any other medical professionals, including without limitation, medical students, genetic counselors, and formulary committee members; (3) any persons (including any type of legal person) on the U.S. government’s Denied Persons List, Specially Designated Nationals list, Entity List, Unverified List or any other similar list maintained by the U.S. government or any other government to whose laws Sponsors, their subsidiaries or affiliated companies, the Grant or such person is subject, and all individuals employed thereby or otherwise associated therewith; and
  • Are not any persons for whom it would be illegal to participate in or win the Grant, or with or to whom it would be illegal for Trailhead to interact or grant any award as contemplated herein.

No purchase is necessary to participate and to be selected as a winner.  Participation in the Grant is subject to all applicable laws and regulations, and is void where prohibited or where registration, bonding or language translation is required.

HOW TO ENTER

Entries for the Grant must be submitted as set forth in the Grant Details. Trailhead makes no guarantee or warranty with respect to the security or confidentiality of applications or the application process. By entering, the applicant gives permission to Trailhead to contact the applicant regarding their products and services, whether or not the applicant is selected as a winner. By entering, applicants agree that Trailhead may contact them regarding their application and relevant product offerings. Applicants may unsubscribe from marketing communications at any time.. Each applicant shall be entitled to make any amount of applications to the Grant so long as all applications are made in good faith. Multiple submissions from the same institution are accepted. In the event that Trailhead deems an applicant to have acted in bad faith with respect to the Grant, Trailhead reserves the right to exclude the applicant from the Grant or future such grants, and consequently to treat as ineligible to be selected.

Trailhead reserves all right and discretion regarding selection of awardees, including as to number of awardees in general, number of awardees from any institution, amount or size or value of award, any in any other respect without limitation. Trailhead reserves the right to grant the full amount requested by the applicant, less than the full amount requested by the applicant, or not at all. Trailhead reserves the right to grant awards at any time the Grant is open for evaluation, which will be solely at Trailhead’s discretion.

SELECTION OF WINNERS AND NOTIFICATIONS

Awards will be granted on a rolling, ongoing basis throughout 2025 and 2026. The applicant acknowledges and agrees that the participation, winner selection, and award under the Grant is not, and will not be, based upon the volume or value of any business generated between Trailhead and the applicant, or the applicant’s institution or company (if the applicant is not an individual), or any other organization that the applicant is involved in, if applicable. The application(s) that, in the sole discretion of Trailhead, best make(s) use of the Grant (as defined in the Grant Details) to demonstrate the applications of Trailhead’s products. The decision of Trailhead will be final and binding and shall not be subject to review or appeal by any applicant or by any third party. The Grant is not a sweepstakes or a lottery and winners will not be selected by chance.

Trailhead will attempt to notify the selected applicant(s) by the email provided in the application . If the selected applicant(s) has not responded to email inquiries within three (3) days, Trailhead will attempt to contact the winner by telephone or another email address. If the winner cannot be reached by such additional means within forty-eight (48) hours of first telephone attempt to notify such winner, the awards may be forfeited and an alternate applicant may be selected, based on the criteria set forth above, at Trailhead’s discretion.

PRIZE

Applicants selected for the Grant will receive a code which will enable them to order Trailhead Materials (as defined in Terms and Conditions | Trailhead Biosystems) complying with their grant application in the amount Trailhead selects at its discretion, which may be the full amount requested in the application or may be a lower volume.

RESTRICTIONS APPLY

Applications must be prepared in accordance with the instructions to be provided to the winner and as set forth in the Grant Details. The prize may not be transferred or assigned; no substitutions or cash equivalents are allowed. The winner will be required to order using a code via Trailhead’s web store located at iPSC-Derived Human Cells | Trailhead Biosystems, and other documents such as an affidavit of eligibility/release of liability/publicity release (where legal) within twenty-one (21) days of first notification attempt. If the winner fails to order Trailhead Materials pursuant to the code generated for ordering, or return the affidavit/release by the deadline, the prize may be forfeited and an alternate winner may be selected, based on the criteria set forth above, solely at Trailhead’s discretion which is unappealable. The odds of being selected depend on the number of eligible entries received.

The applicant understands and agrees that no ideas, information or materials that are submitted to or otherwise provided to Trailhead in connection with the Grant will be returned, and that Trailhead makes no guarantee or warranty with respect to the security or confidentiality thereof. While applicant retains its intellectual property retained in such application, applicant hereby grants Trailhead a license to any information communicated pursuant to this Grant to Trailhead to use for its internal development and its  commercialization of products. All intellectual property matters are as set forth in Terms and Conditions | Trailhead Biosystems, which governs in the event of any conflict between these Terms and Conditions and Terms and Conditions | Trailhead Biosystems.

All taxes on the prize and reporting thereof, and any other costs, fees and expenses relating to the prize or the Grant, are the sole responsibility of the winner and/or the winner’s institution or company. By submitting an application or accepting the award(s), the applicant agrees on behalf of the applicant and the applicant’s institution or company: (1) to be bound by these official rules; (2) that Trailhead shall retain full authority, in their sole discretion, to interpret and administer these rules; (3) that any dispute with regard to the conduct of the Grant, rule interpretation or award of the prize, shall be resolved by Trailhead, whose decision shall be binding and final; (4) to be bound by all decisions and interpretations made in good faith by Trailhead; and (5) that all use of products will be subject to Trailhead’s standard terms and conditions of sale respectively. Furthermore, the applicant represents and warrants that: (1) the applicant meets all eligibility requirements of the Grant; (2) the applicant has obtained all required authorizations and permissions from the applicant’s institution or company; (3) entering into the Grant does not and will not violate any law or regulation, or any of the institution’s or company’s rules or policies; and (4) the information contained in the application is true and correct in all material respects and is owned or rightfully possessed by the applicant without restriction on disclosure. Trailhead may refuse to award the prize if Trailhead determine in their sole discretion that doing so would likely result in a violation of an applicable law, rule, or policy.

REDEEMING AWARD

Trailhead will issue awardees a one-time discount code to use at checkout on Trailhead’s web store at iPSC-Derived Human Cells | Trailhead Biosystems that will cover the amount of the grant, not including taxes, fees, or shipping costs. Applicant will not share such discount code. Applicant agrees that all terms and conditions available at Terms and Conditions | Trailhead Biosystems govern the terms of use of the award, including any and all Trailhead Materials. In the event of any conflict between these terms and the terms and conditions available at Terms and Conditions | Trailhead Biosystems, the latter governs.

FEEDBACK AND RIGHTS OF TRAILHEAD

Applicant agrees, if selected for the Grant, to reasonably communicate with Trailhead, including promptly upon Trailhead’s request, and share verbal or written feedback on the Materials (as defined in Terms and Conditions | Trailhead Biosystems) including Results. Applicant agrees to share data on the work concluded pursuant to the Grant at the conclusion of the Grant. While applicant retains its intellectual property retained in such data and communications, applicant hereby grants Trailhead a fully paid-up, worldwide, right and license to any information communicated pursuant to this Grant to Trailhead to use for its internal development and for marketing and commercialization purposes, including but not limited to inclusion of such feedback and Results in its public-facing marketing materials. All intellectual property matters are as set forth in Terms and Conditions | Trailhead Biosystems, and Terms and Conditions | Trailhead Biosystems governs in the event of any conflict.

PUBLICATION RIGHTS OF APPLICANT

Applicant may publish and share the results, data, analyses, and any other outcome of its use of Trailhead Materials (“Results”) with third parties so long as the Results were generated in compliance with all terms set forth on Terms and Conditions | Trailhead Biosystems.

. Applicant agrees to appropriately acknowledge Trailhead in accordance with the International Committee of Medical Journal Editors Uniform Requirements for Manuscripts, including where appropriate by reference to our company name and trademarks.

If requested by Trailhead, applicant will consider in good faith publishing, including through a paper, presentation, application note, or another public disclosure, the data generated through use of the award.

USE OF INSTITUTION NAME

The applicant acknowledges and agrees that, if the applicant is selected as one of the winners, the applicant’s name, applicant’s job title, the name of the applicant’s institution or company, and the project title (excluding further project details) may, without further compensation, be published on one or more Trailhead website(s) and, at Trailhead’s discretion, through social media. By accepting the prize, each applicant grants to Trailhead, on behalf of the winner and the winner’s institution or company, the right, at any time and from time to time, to print, publish, broadcast, and use, worldwide and in any media now known or hereafter developed (including, but not limited to, social media, the Internet, and the world wide web), the winning applicant’s name, the name of the winning applicant’s institution or company, and the project title (excluding further project details).

INDEMNITY, DISCLAIMER AND LIMITATION OF LIABILITY

By participating in the Grant, the applicant agrees on behalf of the applicant and the applicant’s institution or company to release, discharge, indemnify and hold harmless Trailhead and its respective affiliates, subsidiaries, officers, directors, employees, agents and representatives from all liability for any injury, loss or damage, including death or property damage, due in whole or part, directly or indirectly, to the participation in the Grant or the acceptance, possession, use or misuse of any prize. Trailhead has not made any warranty, representation, or guarantee, express or implied, in fact or in law, with respect to the prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. TRAILHEAD IS NOT RESPONSIBLE FOR LOST, LATE, STOLEN, INCOMPLETE, ILLEGIBLE, INACCURATE, UNDELIVERED, DELAYED OR MISDIRECTED ENTRIES, OR FOR ANY COMPUTER, THE INTERNET, EMAIL, TELEPHONE OR TECHNICAL MALFUNCTIONS OR DELAYS, OR FOR ANY HUMAN ERRORS THAT OCCUR IN THE PROCESSING, TRANSMISSION OR RECEIPT OF ENTRIES, OR FOR INACCURATE TRANSCRIPTION OF ENTRY INFORMATION, OR IF THE GRANT IS NOT CAPABLE OF BEING CONDUCTED AS PLANNED, INCLUDING BUT NOT LIMITED TO INFECTION BY COMPUTER VIRUSES, BUGS, TAMPERING, UNAUTHORIZED INTERVENTION, FRAUD, TECHNICAL FAILURES, OR OTHER CAUSES BEYOND THE CONTROL OF TRAILHEAD. IN NO EVENT SHALL TRAILHEAD OR ITS RESPECTIVE AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT OF OR IN CONJUNCTION WITH PARTICIPATION IN THE GRANT OR THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY OF THEM ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. TRAILHEAD’S TOTAL AND CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE GRANT SHALL IN NO EVENT EXCEED THE TOTAL VALUE OF THE PRIZE ACTUALLY AWARDED BY TRAILHEAD TO THE APPLICANT CONNECTED WITH ANY SUCH ACTION.

MISCELLANEOUS

Trailhead reserves the right to suspend, modify, cancel or terminate the Grant without advance notice, including, without limitation, in the event of any act, occurrence or reason that it believes would compromise the legality, integrity, administration or fairness of the Grant. If one or more provisions of these official rules are held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall be valid and enforceable. These official rules are governed by and shall be construed by the laws of the State of Ohio, USA, without application of its choice of law principles. Should there be a conflict between the laws of the State of Ohio and any other laws, the conflict will be resolved in favor of the laws of the State of Ohio. The failure of Trailhead to comply with any provision of these official rules due to civil unrest, threat of or actual acts of terrorism or war, embargoes, governmental actions, acts of God, earthquakes, floods, storms, fires, supplier delay, accidents, explosions, epidemics, quarantine restrictions, or other such contingencies beyond the control of Trailhead, shall not be considered a breach of these rules.
